The NCLT, Bengaluru Bench, dismissed the proposed amalgamation of three transferor companies into Jain Heights and Structures Pvt. Ltd. The scheme was rejected as opposed to public policy because secured creditors did not approve it, Income Tax Department concerns were substantiated, and the merger could expose otherwise healthy companies to pending insolvency proceedings.
