The Supreme Court held that a corporate prosecution cannot be quashed solely because no natural person was identified or arraigned alongside the company. At the threshold, allegations must prima facie show that persons acted on the company’s behalf, their acts relate to the offence, and the requisite mens rea is not inherently improbable.
